Terms of Sale

Preamble

These Terms of Sale (the "Terms") govern all orders placed on studio-s.fr, published by SEMMEL CONSULTING ("Studio S."). Any order implies the Client's unreserved acceptance of these Terms.

Article 1 — Purpose

Studio S. offers design, development, and delivery of direct-booking websites for owners of short and mid-term rental properties, worldwide.

Article 2 — Description of Services

2.1 Essential Pack (€490 excl. VAT)

Includes:

  • Custom one-page website design
  • iCal-synced calendar with Airbnb, Booking and Vrbo
  • Secure Stripe payment system
  • Optimized photo gallery
  • Verified reviews display
  • Hosting and domain name for 1 year
  • Local SEO optimization and Schema.org structured data
  • Delivery within 7 business days from full receipt of Client's content

2.2 Available Add-ons

  • Airbnb listing audit: €199 excl. VAT
  • 5 SEO sub-pages pack: free during the launch period
  • English version: included with the Essential Pack
  • 3rd language (German, Italian, or Portuguese): €49 excl. VAT

2.3 Pro Maintenance (€29 excl. VAT / month)

Updates, security, weekly backups, priority support, no commitment, cancellable at any time.

Article 3 — Price and Payment Terms

3.1 Price

Prices are listed in euros, excluding tax (excl. VAT). French VAT at the applicable legal rate will be added for Clients who are French tax residents.

3.2 Payment Terms

  • 50% upon order (non-refundable deposit, except as provided in Article 6)
  • 50% upon delivery of the live site and Client validation
  • Payment by card via Stripe or by bank transfer

3.3 Late Payment

In the event of late payment of the balance, penalties equal to three times the legal interest rate will automatically apply, plus a flat-rate recovery indemnity of €40.

Article 4 — Delivery Times

Studio S. commits to delivering the site within 7 business days from full receipt of the Client's content (photos, descriptions, iCal access, etc.). Any delay attributable to the Client (revisions, out-of-scope requests, missing content) suspends this deadline.

Article 5 — Right of Withdrawal (consumers)

Pursuant to Article L.221-18 of the French Consumer Code, consumer Clients have a 14-day withdrawal period, except in cases of full performance of the service before the end of this period and with the express consent of the Client (Article L.221-28).

This right does not apply to professional Clients.

Article 6 — Money-Back Guarantee

Studio S. commits to refunding the Essential Pack (€490 excl. VAT) in full if, within 7 business days after receiving the Client's full content, the site is not live. This guarantee does not apply if the delay is attributable to the Client (missing content, late revisions, out-of-scope requests).

Article 7 — Liability

Studio S.'s liability is limited to the amount of services invoiced. Studio S. cannot be held liable for indirect damages (loss of revenue, loss of bookings, etc.).

Article 8 — Intellectual Property

Upon delivery and full payment, the Client owns:

  • The source code (delivered on their own GitHub repository)
  • The domain name (in their name)
  • The content (texts, photos they provided)

Studio S. retains ownership of its internal tools and frameworks.

Article 9 — Personal Data

Collected data is processed in accordance with our Privacy Policy available at https://studio-s.fr/privacy.

Article 10 — Disputes and Governing Law

These Terms are subject to French law. In the event of a dispute, the professional Client acknowledges the exclusive jurisdiction of the courts of Paris. For consumer Clients, jurisdiction is determined by the French Consumer Code.
